Merchant Interface Agreement

The merchant confirms their understanding, and acceptance of full responsibility for any
and all issues related directly or indirectly to anything caused by their effort to use the
Merchant Interface to establish and/or make changes to their Storefront on the Galaxy Mall.
 
Merchant acknowledges and understands that Galaxy Mall recommends the Merchant Interface only
be used by those who are proficient in programming HTML, and/or are prepared to have Galaxy
Mall programmers correct any and all problems caused by merchant's actions in the use of the
Merchant Interface.

If a merchant desires to include automatic online ordering, or any of the other standard
services provided to all merchants, Galaxy Mall programmers will provide such for the initial
Storefront.  Merchant understands that any additional or custom programming during initial
setup are subject to the regular additional charges.  A normal Storefront includes unlimited
text and five graphics.  Once the Storefront is activated, the  merchant will be provided
direct access to make changes to their Storefront.  Accordingly, the merchant must assume all
responsibility for any and all updates, changes, or modifications.  

If the merchant desires any assistance to correct any problems which may be caused by the
merchant's programming efforts, the Galaxy Mall programmers are available to assist upon
receipt of $100 deposit.  Programming charges are $50/hr, with a minimum $25 billing rate.  
The merchant will agree to include the Galaxy Mall trailer in each Storefront, and not exceed
the allotted five megs of space for each Storefront. Additional space can be acquired for $12
per year for each additional meg.   The merchant understands the Merchant Interface does not
include or allow for any CGI Scripting or "Server Side Includes."

Merchant personally guarantees each individual associated with them, making any modifications
or changes to the merchant's Storefront(s), will abide by the terms of this agreement.

This Agreement does not modify in any way Galaxy Mall's exclusive right to refuse or exclude
any Storefront or information it deems illegal, offensive, or inappropriate for Galaxy Mall. 
The  right or decision of Galaxy Mall to exclude or allow a Storefront to appear in Galaxy
Mall does not, in any way, transfer or shift sole responsibility for any Storefront's content,
product, service, or representation from the owner or merchant associated with the Storefront.
Galaxymall reserves the right to modify, change or eliminate the use and/or availability of 
the Merchant Interface.  All changes will automatically supersede this agreement when 
published at ftpagreement@galaxymall.com.  

This Agreement, and any changes as described above, are hereby acknowledged by the merchant
whose signature (on file) confirms their understanding and acceptance of the above terms. The
Merchant agrees to Hold Harmless, and Indemnify Galaxy Mall, Galaxy Mall Inc., Galaxy
Enterprises Inc., their respective management, employees, and agents from any and all legal
action or claims made against them as a result of any product, service, or representation made
in merchants' Storefront or associated with anyway the use of the Merchant Interface.

This Agreement represents the total understanding of the merchant regarding the
responsibilities and use of the Merchant Interface.
